Overview

These terms govern your use of the SCORPII website and the consulting services we provide. By using this website or engaging our services, you agree to these terms. SCORPII is operated by Paul Baillie, based in the Bay Area, California.

Services

SCORPII provides business sale readiness consulting, including structured assessments, operational documentation, systems implementation, and ongoing retainer support. The specific scope, deliverables, and fees for each engagement are agreed in writing before work begins.

Bookings and payments

When you book a consultation through our website, you are requesting a scheduled meeting. Payment terms are communicated before or at the time of booking. Assessment fees are due before or at the time of the session.

Cancellations made with less than 24 hours notice may forfeit the session fee. We will make reasonable efforts to reschedule when possible.

Consulting relationship

SCORPII provides consulting advice and documentation services. We are not a law firm, accounting firm, or licensed business brokerage. Our work is designed to complement, not replace, your existing legal, financial, and brokerage advisors.

We do not guarantee any specific business sale outcome, valuation, or timeline. Our role is to improve the operational readiness and documentation quality of your business.

Confidentiality

We treat all client business information as confidential. We will not share your financial data, operational details, or strategic plans with any third party without your written consent, except as required by law. This applies during and after the engagement.

Intellectual property

Deliverables created during your engagement (assessment reports, SOPs, documentation) are yours to keep and use. You receive full ownership of all work product specific to your business.

SCORPII retains ownership of its methodologies, frameworks, templates, and tools. We may use anonymized, non-identifiable insights from engagements to improve our services.

Broker referral partners

Brokers who register as referral partners agree to refer clients in good faith. Referral fees are paid according to the terms communicated at the time of partner registration. SCORPII reserves the right to modify or discontinue the referral program at any time with reasonable notice.

Limitation of liability

SCORPII provides consulting services on an as-is basis. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from our services. Our total liability for any claim related to an engagement is limited to the fees paid for that engagement.

Website use

This website is provided for informational purposes. We make reasonable efforts to keep the content accurate and current, but do not guarantee that all information is complete or error-free. We may update or modify the website at any time without notice.

Changes to these terms

Governing law
